Terms of Service

1. Definitions

Throughout these Terms, the following definitions apply:

• "Company", "we", "us", "our" — Tech Steps LLC, Registered in Shams Free Zone, Sharjah, UAE.
• "Service" — The SecAI platform, including all software, APIs, agents, dashboards, AI analysis features, and related services provided by Tech Steps LLC.
• "User", "you", "your" — Any individual or entity that accesses or uses the Service.
• "Customer" — The organization or individual who has registered for and is billed for the Service.
• "Reseller / MSSP" — A Customer registered as a Managed Security Service Provider who uses the Service to monitor servers belonging to their own end clients.
• "End Client" — A third-party organization whose servers are monitored by a Reseller using the Service.
• "Agent" — The SecAI monitoring software installed on a Customer's or End Client's server.
• "Security Findings" — Alerts, reports, AI audit results, incidents, recommendations, and other outputs generated by the Service.

2. Acceptance of Terms

By creating an account, installing the Agent, accessing the dashboard, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are registering on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or prominent notice within the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

3. Description of the Service

SecAI is a server security monitoring platform that installs a lightweight agent on Linux servers to detect security threats, anomalies, and misconfigurations. The Service provides:

• Continuous monitoring of SSH access, file integrity, network activity, and system behavior
• Automated IP blocking and incident response actions
• AI-powered security audit reports and recommendations
• Alert delivery via email and webhook
• A web-based dashboard for viewing and managing security events
• White-label and reseller functionality for MSSP accounts

The Service is provided on an "as-is" basis and is subject to the disclaimers and limitations set out in Section 11 of these Terms.

4. Account Registration and Responsibilities

4.1 Registration

You must provide accurate, current, and complete information when registering. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] of any unauthorized access or use of your account.

4.2 Eligibility

The Service is intended for businesses and individuals operating lawfully. You must be at least 18 years of age and have the legal capacity to enter into binding contracts in your jurisdiction. The Service is not intended for use by individuals in jurisdictions where such use is prohibited by law.

4.3 Account Security

You are solely responsible for the security of your account and any API tokens, enrollment tokens, or access credentials issued to you. Tech Steps LLC will not be liable for any loss or damage arising from unauthorized use of your account resulting from your failure to maintain adequate credential security.

5. Acceptable Use Policy

5.1 Permitted Use

You may use the Service solely to monitor servers and infrastructure that: (a) you own; (b) you manage on behalf of an organization that has authorized you; or (c) in the case of Resellers, are owned or operated by End Clients who have granted you explicit written authorization to monitor their systems.

5.2 Prohibited Use

You must not use the Service to:

• Monitor servers, systems, or networks without explicit authorization from the owner
• Conduct, facilitate, or support offensive cyber operations, unauthorized penetration testing, or any form of unauthorized access to computer systems
• Circumvent, disable, or interfere with the security features of the Service or any connected systems
• Use Security Findings to exploit vulnerabilities on systems you do not own or have authorization to test
• Resell or sublicense the Service except as expressly permitted under an MSSP agreement with us
• Reverse engineer, decompile, or attempt to extract the source code of the Agent or platform software
• Use the Service in violation of any applicable law, regulation, or third-party rights
• Attempt to gain unauthorized access to any portion of the Service or its underlying infrastructure
• Introduce malware, viruses, or malicious code into the Service or any connected systems

Violation of this Acceptable Use Policy may result in immediate account suspension or termination without refund, and may be reported to relevant law enforcement authorities.

6. Reseller / MSSP Accounts

6.1 Reseller Obligations

If you are registered as a Reseller or MSSP, you are solely responsible for: (a) obtaining all necessary authorizations from your End Clients before installing the Agent on their servers; (b) ensuring your End Clients are aware that their servers are being monitored; (c) maintaining appropriate contractual agreements with your End Clients that are consistent with these Terms; and (d) the conduct of your End Clients with respect to the Service.

6.2 Reseller Liability

You acknowledge and agree that you are the party responsible for the Service's use by your End Clients. Tech Steps LLC has no direct relationship with End Clients and will not be liable to them for any claims arising from the Service. You agree to indemnify Tech Steps LLC against any claims brought by your End Clients in connection with your use of the Service.

6.3 White-Label Use

Resellers may apply their own branding to the Service within the permitted white-label features. You must not represent that you developed the underlying platform technology, and you must not use Tech Steps LLC's or SecAI's name or trademarks without our prior written consent.

7. Payment Terms and Billing

7.1 Fees

Fees for the Service are set out on the pricing page and may be updated from time to time. We will provide at least 30 days' notice before implementing fee increases for existing subscriptions. All fees are quoted in US Dollars (USD) unless otherwise stated and are exclusive of applicable taxes.

7.2 Billing

Subscriptions are billed in advance on a monthly or annual basis depending on your chosen plan. Payment is processed via our third-party payment provider (PayPal). By providing payment details, you authorize us to charge the applicable fees on a recurring basis until you cancel your subscription.

7.3 Free Trial

New accounts receive a free trial period as stated at registration. No payment method is required during the trial. At the end of the trial, you must subscribe to a paid plan to continue using the Service. We reserve the right to modify trial terms at any time.

7.4 Refunds

Subscription fees are non-refundable except where required by applicable UAE consumer protection law. If you cancel your subscription, you will retain access to the Service until the end of your current billing period. We do not provide pro-rated refunds for unused portions of a billing period.

7.5 Late Payment

If a payment fails, we will notify you and provide a grace period of 7 days to update your payment method. If payment remains outstanding after the grace period, we may suspend or terminate your account.

8. Data Processing and Privacy

8.1 Data Collected

The Agent collects and transmits to our servers security-relevant telemetry data including: system logs, file integrity information, network connection data, running processes, SSH access records, installed software lists, and hardware metrics. This data is used exclusively to provide and improve the Service.

8.2 Data Ownership

You retain ownership of all data collected from your servers. You grant Tech Steps LLC a limited, non-exclusive license to process this data solely for the purpose of delivering the Service and improving its detection capabilities on an anonymized, aggregated basis.

8.3 Data Security

We implement reasonable technical and organizational measures to protect your data. However, no system is completely secure. You acknowledge that you are responsible for implementing appropriate security controls on your own infrastructure and that Tech Steps LLC cannot guarantee the absolute security of data in transit or at rest.

8.4 Data Retention

We retain your security telemetry data for the period covered by your plan's incident history setting. Upon account termination, we will delete your data within 90 days, except where retention is required by applicable law.

9. Intellectual Property

The Service, including all software, AI models, algorithms, documentation, trademarks, and content, is the exclusive property of Tech Steps LLC and is protected by intellectual property laws. These Terms do not transfer any ownership rights to you. You receive only a limited, non-exclusive, non-transferable license to use the Service during your subscription period.

You must not copy, modify, distribute, sell, or create derivative works based on any part of the Service without our prior written consent.

10. AI Features and Security Findings — Important Disclaimer

You acknowledge and agree that:

• AI-generated findings may contain errors, false positives, or false negatives. The Service may not detect all threats, vulnerabilities, or security incidents present on your servers.
• The Service is a monitoring and detection tool, not a guarantee of security. Tech Steps LLC does not guarantee that use of the Service will prevent security breaches, data loss, or unauthorized access.
• Any automated actions taken by the Service (such as IP blocking) are executed based on algorithmic rules and may occasionally produce incorrect results. You remain responsible for reviewing and validating all automated actions.
• AI audit reports and recommendations should be reviewed by a qualified security professional before implementation on production systems.
• You are solely responsible for all decisions made based on Security Findings and for all remediation actions taken on your servers.

11. Disclaimers and Limitation of Liability

11.1 No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED, ERROR-FREE OPERATION. TECH STEPS LLC DOES NOT WARRANT THAT THE SERVICE WILL DETECT ALL SECURITY THREATS OR PREVENT ALL SECURITY INCIDENTS.

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE UAE LAW, TECH STEPS LLC'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE — WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE — SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO TECH STEPS LLC IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11.3 Exclusion of Consequential Damages

IN NO EVENT SHALL TECH STEPS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR REPUTATION; COSTS OF PROCUREMENT OF SUBSTITUTE SERVICES; SECURITY BREACHES OR DATA LOSS THAT OCCURRED DESPITE USE OF THE SERVICE; OR BUSINESS INTERRUPTION, HOWEVER CAUSED AND REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF TECH STEPS LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.4 Essential Basis

You acknowledge that the limitations of liability set out in this Section 11 are an essential element of the agreement between you and Tech Steps LLC, without which Tech Steps LLC would not provide the Service at the stated fees. Some jurisdictions do not allow certain exclusions or limitations of liability; in such cases, the limitations will apply to the fullest extent permitted by applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Tech Steps LLC, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service in an unauthorized, illegal, or improper manner
• Your monitoring of servers or systems without proper authorization
• Any claims brought by your End Clients or third parties in connection with your Reseller use of the Service
• Any security breach, data loss, or other incident that occurs on your infrastructure
• Your violation of any third-party rights or applicable law

13. Service Availability and Maintenance

We aim to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, emergency updates, or circumstances beyond our control. We will use reasonable efforts to provide advance notice of scheduled maintenance.

Tech Steps LLC reserves the right to modify, suspend, or discontinue any feature or aspect of the Service at any time with reasonable notice. Material changes that affect core functionality will be communicated at least 30 days in advance.

14. Termination

14.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting us at [email protected]. Cancellation takes effect at the end of your current billing period. You remain responsible for all fees incurred up to the date of cancellation.

14.2 Termination by Us

We may suspend or terminate your account immediately and without notice if: (a) you materially breach these Terms; (b) we believe your account is being used for unauthorized, fraudulent, or illegal purposes; (c) required to do so by law or regulatory authority; or (d) you fail to pay fees when due after the applicable grace period.

14.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. You must promptly uninstall the Agent from all servers. Provisions that by their nature should survive termination — including Sections 8 (Data), 9 (Intellectual Property), 10 (AI Disclaimer), 11 (Liability), 12 (Indemnification), 15 (Governing Law) — will survive.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, specifically the laws applicable in Sharjah, United Arab Emirates. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Sharjah, United Arab Emirates, and you hereby submit to the personal jurisdiction of such courts.

Before commencing any formal legal proceedings, you agree to first attempt to resolve any dispute by contacting us at [email protected] and giving us 30 days to respond and attempt resolution in good faith.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Tech Steps LLC with respect to the Service and supersede all prior agreements, representations, and understandings.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Tech Steps LLC.

16.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.

16.5 Force Majeure

Tech Steps LLC will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to: acts of God, war, terrorism, pandemic, government actions, internet outages, or third-party service failures.
